End User License Agreement
Effective Date: March 7, 2026
This End User License Agreement ("EULA") is a legal agreement between you ("Licensee") and BIMFalcon ("Licensor") for the use of the FalconTools software product ("Software"). By installing, copying, or using the Software, you agree to be bound by the terms of this EULA.
1. Grant of License
Subject to the terms of this EULA and payment of applicable fees, BIMFalcon grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software in accordance with your subscription tier:
- Starter (Free): One (1) seat. Access to Smart Room Numbering, Smart Door Numbering, and Insert/Remove Room Numbers. Includes 10 free uses of Professional-tier tools, after which Professional tools are disabled until a paid license is activated.
- Professional ($149/year): One (1) seat. Unlimited access to all 10 productivity tools, email support, and free updates during the subscription period.
- Team ($399/year): Up to five (5) seats. All Professional features plus priority support, volume licensing, and an onboarding session.
2. Seat Definition
A "seat" is defined as one individual user authorized to install and use the Software on up to two (2) machines (e.g., a desktop and laptop) for their personal use. Seats may not be shared concurrently between users.
3. Installation and Activation
- The Software is installed via a setup wizard that registers FalconTools with compatible versions of Autodesk Revit (2024, 2025, and 2026).
- A valid license key is required to activate paid features.
- The Software may periodically verify your license status via an internet connection.
4. Restrictions
You may NOT:
- Copy, distribute, or make the Software available to any third party except as permitted by your license tier.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
- Modify, adapt, translate, or create derivative works based on the Software.
- Rent, lease, lend, sell, sublicense, or transfer the Software or your license key.
- Use the Software to develop a competing product or service.
- Remove, obscure, or alter any proprietary notices, labels, or branding within the Software.
- Circumvent or attempt to circumvent any license validation, usage limits, or technical protection measures.
5. AI Model Query Terms (Planned Feature)
Model Query is a planned feature that will allow you to query your Revit model using natural language, powered by Anthropic's Claude API. When this feature becomes available, the following terms will apply:
- Query text and relevant model metadata (element names, parameters, room data, etc.) will be transmitted to Anthropic's servers for processing.
- No complete Revit project files (.rvt) will be transmitted. Only the specific metadata required to process a query will be sent.
- BIMFalcon will not store query data or AI responses after delivery.
- AI-generated responses are provided for informational purposes only. You are solely responsible for verifying the accuracy of AI responses before using them for design, engineering, compliance, or any other professional decisions.
- BIMFalcon makes no guarantees about the accuracy, completeness, or reliability of AI-generated responses.
6. Intellectual Property
The Software, including all code, graphics, user interface design, documentation, and related materials, is the exclusive intellectual property of BIMFalcon and is protected by copyright, trade secret, and other intellectual property laws. This EULA does not grant you any ownership rights in the Software.
7. Updates and Support
- Professional and Team subscribers receive free software updates during their active subscription period.
- BIMFalcon may release updates that add features, fix bugs, or modify functionality. Updates are optional but recommended.
- Email support is available to Professional and Team subscribers at support@BIMFalcon.com.
- BIMFalcon is not obligated to provide support for the Starter (Free) tier.
8. Subscription Renewal and Cancellation
- Paid subscriptions renew annually unless cancelled before the renewal date.
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- Upon expiration or cancellation, paid features will be disabled and the Software will revert to Starter tier functionality.
- No partial refunds are provided for unused portions of a subscription period, except within the 30-day refund window.
9. Data and Privacy
Your use of the Software is also governed by our Privacy Policy. The Software does not access, collect, or transmit your Revit project files. If the planned AI Model Query feature described in Section 5 becomes available, limited metadata transmission will apply as described therein.
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BIMFALCON DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ALL HARDWARE OR SOFTWARE CONFIGURATIONS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIMFALCON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR PROJECT DELAYS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. BIMFALCON'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Termination
This EULA is effective until terminated. BIMFalcon may terminate this EULA immediately if you breach any of its terms. Upon termination:
- All rights granted under this EULA cease immediately.
- You must uninstall the Software and destroy all copies in your possession.
- Sections 6, 10, 11, and 14 survive termination.
13. Export Compliance
You agree to comply with all applicable export laws and regulations. You may not export or re-export the Software to any country, entity, or person prohibited by law.
14. Governing Law
This EULA is governed by and construed in accordance with the laws of the United States. Any disputes arising under this EULA shall be resolved through binding arbitration or in the courts of competent jurisdiction.
15. Third-Party Notices
Autodesk, Revit, and related product names are registered trademarks of Autodesk, Inc. FalconTools is an independent product developed by BIMFalcon and is not affiliated with, endorsed by, or sponsored by Autodesk, Inc.
16. Severability
If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and BIMFalcon regarding the Software and supersedes all prior agreements and understandings.
